1. Scope
1.1 These General Terms and Conditions (GTC) of Céline Denise Engel, trading as "Angels Vault" (hereinafter "Seller"), apply to all contracts for the delivery of goods concluded by a consumer or entrepreneur (hereinafter "Customer") with the Seller regarding the goods presented in the Seller's online shop. The inclusion of the Customer's own terms and conditions is hereby rejected unless otherwise agreed.
1.2 A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that predominantly are outside their trade, business, or profession.
1.3 An entrepreneur within the meaning of these GTC is a natural or legal person or a legal partnership who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.
2. Conclusion of Contract
2.1 The product descriptions in the Seller's online shop do not constitute binding offers but serve to submit a binding offer by the Customer.
2.2 The Customer can submit the offer via the online order form integrated into the Seller's shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding offer with respect to the goods contained in the shopping cart by clicking the button that concludes the ordering process.
2.3 The Seller can accept the Customer's offer within five days by sending a written (e.g., email, fax) order confirmation, delivering the ordered goods to the Customer, or requesting payment after the order is placed. If several of the above options apply, the contract is concluded at the time one of the options first occurs. The period for accepting the offer begins on the day after the Customer sends the offer and ends at the end of the fifth day following the offer. If the Seller does not accept the Customer's offer within this period, the offer is considered rejected.
2.4 When selecting a payment method offered by PayPal, the payment is processed by PayPal (Europe) S.à r.l. et Cie, S.C.A., subject to the PayPal user agreement, or, if the Customer does not have a PayPal account, under the terms for payments without a PayPal account. If the Customer selects such a payment method during the online ordering process, the Seller declares acceptance of the Customer's offer at the time the Customer clicks the button completing the ordering process.
2.5 The contract text is saved by the Seller and sent to the Customer in text form (e.g., email) after the order is placed. If the Customer has created a user account, past orders are stored in the user account.
2.6 Prior to final submission, the Customer can identify and correct input errors using the usual browser functions and review steps.
2.7 The contract is concluded in the languages available in the Seller’s shop.
2.8 Order processing and communication usually take place via email. The Customer must ensure that the provided email address is correct and that emails from the Seller or its service providers can be received.
3. Right of Withdrawal
3.1 Consumers generally have a right of withdrawal.
3.2 More information on the right of withdrawal is available in the Seller's Withdrawal Policy.
4. Prices and Payment Terms
4.1 All prices are total prices. According to § 19 UStG, VAT is not shown. Shipping costs are listed separately.
4.2 For deliveries outside the EU, additional costs (e.g., bank fees, customs duties) may apply and are to be borne by the Customer.
4.3 Payment methods are shown in the Seller’s online shop.
4.4 If the “Shopify Payments” payment method is chosen, payment is processed by Stripe Payments Europe Ltd. The Seller may use third-party services via Stripe.
4.5 If Klarna is selected, the payment is processed by Klarna Bank AB (publ), subject to Klarna’s terms.
5. Delivery and Shipping Terms
5.1 Goods are delivered to the shipping address specified by the Customer. When paying via PayPal, the delivery address stored with PayPal is used.
5.2 If delivery fails due to incorrect delivery information or non-acceptance by the Customer, the Customer shall bear the resulting costs unless the Customer rightfully exercises their right of withdrawal.
5.3 For entrepreneurs, the risk passes upon delivery to the shipping carrier; for consumers, only upon receipt.
5.4 If a product is unavailable despite proper procurement efforts, the Seller may withdraw from the contract. The Customer will be informed and refunded.
5.5 Self-collection is not possible for logistical reasons.
6. Retention of Title
The delivered goods remain the property of the Seller until full payment is received.
7. Warranty (Liability for Defects)
7.1 The statutory liability for defects applies, unless otherwise stated.
7.2 For entrepreneurs:
The Seller may choose whether to remedy the defect or deliver a replacement.
Warranty claims expire one year after delivery of new goods.
Warranty for used goods is excluded.
The limitation period does not restart in case of replacement.
7.3 These limitations do not apply in cases of damages, fraudulent concealment, or legal recourse.
7.4 The statutory limitation periods for claims under § 445b BGB remain unaffected.
7.5 Entrepreneurs must inspect the goods and report defects promptly.
7.6 Consumers are asked to report obvious damages to the transport carrier and the Seller, though failure to do so does not affect legal warranty rights.
8. Liability
The Seller is liable without limitation:
in cases of intent or gross negligence
for injury to life, body, or health
in cases of guarantee breaches
under the Product Liability Act
For simple negligence, the Seller is liable only for foreseeable, typical damages involving essential contractual obligations.
Liability is otherwise excluded. These limitations also apply to the Seller’s agents and legal representatives.
9. Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Sales Convention. For consumers, this choice of law applies only if it does not deprive the consumer of mandatory protection under the law of their country of residence.
10. Alternative Dispute Resolution
The Seller is not obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
